1. Agreement to Terms
By accessing or using simpleAMS (“the Service”), provided by simpleAMS LLC (“we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use the Service.
2. Description of Service
simpleAMS is an insurance agency management platform that provides tools for managing agents, carriers, policies, leads, commissions, and related agency operations. The Service is provided on a subscription basis under separately negotiated agreements.

3. User Accounts
To access certain features of the Service, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Acceptable Use
You agree not to engage in any of the following prohibited activities:
Use the Service for any unlawful purpose
Attempt to gain unauthorized access
Interfere with service integrity or performance
Upload or transmit malicious code
Collect personal data without consent
Transmit spam or unsolicited communications
5. Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the collection and use of information as described in our Privacy Policy.
6. Intellectual Property
The Service and its original content, features, and functionality are owned by simpleAMS LLC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You retain ownership of any data you input into the Service.
7. Data Ownership
You retain all rights to the data you input into the Service. We do not claim ownership of your data. You grant us a limited license to use your data solely to provide the Service to you. Upon termination of your account, you may request export of your data.
Your Data Stays Yours
simpleAMS believes in complete data ownership. Your agency data is yours, and you can export it at any time.
8. Service Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform scheduled maintenance with advance notice when possible. We are not liable for any interruption or loss of service.
9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIMPLEAMS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE.
10. Indemnification
You agree to indemnify and hold harmless simpleAMS LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising out of your use of the Service or violation of these Terms.
11. Termination
We may terminate or suspend your account and access to the Service at our sole discretion, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.
12. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the “Last updated” date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law provisions.
